Terms of Service

1. Acceptance of Terms
By accessing or using the Private AI Knowledge platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including workspace owners, administrators, and workspace members. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.
2. Description of Service
Private AI Knowledge is a SaaS platform that allows enterprise teams to upload private documents and ask AI-powered questions against them, with cited answers drawn only from your uploaded content. The platform is powered by retrieval-augmented generation (RAG) technology and runs on AWS infrastructure.
3. Accounts and Workspaces
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorised use of your account.
- Each workspace is isolated — members can only access content within their assigned workspaces.
- You are responsible for all activity that occurs under your account.
4. Subscriptions and Billing
Paid subscriptions are processed exclusively through AWS Marketplace. By subscribing, you agree to AWS Marketplace's payment terms. We do not handle payment card data directly.
- Subscriptions renew automatically on a monthly basis unless cancelled.
- You may cancel at any time through AWS Marketplace; access continues until the end of the current billing period.
- Prices are as listed on AWS Marketplace at the time of subscription.
- We reserve the right to change pricing with 30 days' notice.
- Refunds, if applicable, are governed by AWS Marketplace's refund policy.
Free accounts are limited to dashboard access and workspace creation. Document uploads and AI conversations require an active paid subscription.
5. Acceptable Use
You agree not to use the Service to:
- Upload content that violates any applicable law or third-party rights
- Upload malware, viruses, or other harmful code
- Attempt to gain unauthorised access to other users' workspaces or data
- Reverse-engineer, decompile, or disassemble the Service
- Use the Service to generate content that is illegal, abusive, or harmful
- Resell or sublicense access to the Service without written permission
- Circumvent usage limits or access controls
6. Your Content
You retain full ownership of the documents and content you upload ("Your Content"). By uploading content, you grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you.
We do not use Your Content to train AI models or share it with other customers. Your Content is processed and stored only within your workspace.
You represent and warrant that you have all necessary rights to upload Your Content and that it does not infringe any third-party intellectual property rights.
7. AI-Generated Responses
The AI responses generated by the Service are based solely on documents you have uploaded. These responses are provided for informational purposes only and should not be relied upon as legal, medical, financial, or professional advice.
AI systems can make mistakes. You are responsible for independently verifying any information provided by the AI before acting on it.
8. Intellectual Property
The Service, including its software, design, and documentation, is the exclusive property of Private AI Knowledge and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience technical issues that temporarily affect availability. We will endeavour to notify users of planned maintenance in advance.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI RESPONSES WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVATE AI KNOWLEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Termination
Either party may terminate access to the Service at any time. You may cancel your subscription through AWS Marketplace. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow data export, after which it will be deleted unless retention is required by law.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by email and by posting the updated Terms on this page with a new "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
